Terms of Service

These Terms of Service (the “Terms”) govern your access to and use of MaxPerp (the “Platform”), operated by MaxPerp Ltd (“we”, “us”, “MaxPerp”). By creating an account or otherwise using the Platform, you agree to be bound by these Terms. If you do not agree, do not use the Platform.

1. Eligibility

You must be at least 18 years of age and have full legal capacity to enter into a binding contract in your jurisdiction. You represent that you are not a resident of, located in, or otherwise subject to the laws of a Restricted Jurisdiction (see Restricted Jurisdictions). You further represent that you are not subject to economic sanctions, included on any OFAC, UN, EU or HMT sanctions list, or otherwise prohibited from using the Platform under applicable law.

2. Account Registration & Security

You must provide accurate, complete, and current information when registering. You are responsible for maintaining the confidentiality of your account credentials, including any two-factor authentication device, and for all activity occurring under your account. You agree to notify us immediately of any unauthorized access. We may suspend or terminate accounts that breach these Terms or that we reasonably suspect of fraud, money laundering, market manipulation, or other misconduct.

3. Verification (KYC / AML)

Access to certain features (including deposits, withdrawals, and higher position limits) requires identity verification. You agree to provide truthful information and government-issued documentation when requested, and to update that information when it changes. We may decline or revoke verification at our discretion.

4. Trading & Perpetual Futures

The Platform allows you to trade perpetual futures contracts on cryptocurrency and commodity reference indices. Perpetual futures are leveraged derivative instruments. They do not entitle you to ownership of any underlying asset and settle in USDT. All orders are routed to and matched by MaxPerp’s internal matching engine. Execution, liquidation, and funding-rate methodology are described in our public product documentation.

5. Margin, Liquidation & Funding

Trading on margin amplifies both gains and losses. If the value of your position moves against you such that your maintenance-margin requirement can no longer be met, your position will be liquidated automatically and without prior notice. You are responsible for monitoring your positions at all times. Funding payments are exchanged between long and short holders at the published interval and rate; we do not retain funding payments.

6. Fees

Trading fees, deposit fees, withdrawal fees, and any other applicable charges are published on the Platform and may be updated from time to time. By placing an order or initiating a transfer you authorize us to deduct the applicable fees from your account.

7. Deposits & Withdrawals

Deposits in supported assets and networks are credited after the required number of on-chain confirmations. You are responsible for sending funds on the correct network and to the correct address. Transfers sent on an unsupported network or to a different address than the one displayed on the Platform may be permanently lost. Withdrawals are processed subject to security, compliance, and balance checks; we may require additional verification before releasing funds.

8. Prohibited Conduct

You agree not to:

  • use the Platform from a Restricted Jurisdiction;
  • use the Platform to launder funds, finance terrorism, evade sanctions, or commit any other unlawful activity;
  • manipulate the market, including but not limited to wash trading, spoofing, layering, front-running, or self-matching;
  • register more than one account per natural person, or operate accounts on behalf of others without authorization;
  • use bots, scrapers, or other automated means in a way that interferes with the Platform’s normal operation;
  • attempt to gain unauthorized access to the Platform, other users’ accounts, or our infrastructure.

9. Risk

You acknowledge that you have read and understood the Risk Disclosure and that you are solely responsible for evaluating whether the Platform’s products are suitable for you. Nothing on the Platform constitutes investment, financial, legal, or tax advice.

10. Intellectual Property

The Platform, including all software, designs, text, graphics, and trademarks, is owned by MaxPerp or its licensors. You receive a limited, non-exclusive, non-transferable, revocable licence to access the Platform for personal, non-commercial use, subject to these Terms.

11. Suspension & Termination

We may suspend, restrict, or terminate your access at any time, with or without notice, including (but not limited to) where required by law, where we suspect a breach of these Terms, or where we reasonably consider the action necessary to protect the Platform or its users.

12. Disclaimers

The Platform is provided on an “as is” and “as available” basis. To the maximum extent permitted by law, MaxPerp disclaims all warranties, whether express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Platform will be uninterrupted, secure, error-free, or free of malicious code.

13. Limitation of Liability

To the maximum extent permitted by law, in no event shall MaxPerp, its affiliates, or their respective directors, officers, employees, or agents be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or trading opportunity, arising out of or in connection with your use of the Platform.

14. Indemnification

You agree to indemnify and hold harmless MaxPerp and its affiliates from and against any claims, losses, liabilities, damages, costs, or expenses (including reasonable legal fees) arising from your breach of these Terms, your use of the Platform, or your violation of any applicable law.

15. Changes to These Terms

We may update these Terms from time to time. Material changes will be notified by email or by a prominent notice on the Platform. Continued use after such changes constitutes your acceptance of the revised Terms.

16. Governing Law & Disputes

These Terms and any dispute arising out of or in connection with them shall be governed by the laws of the jurisdiction in which MaxPerp Ltd is incorporated, without regard to its conflict-of-laws rules. Disputes shall be resolved exclusively by the courts of that jurisdiction.
